LogoCONTENT STRATEGY PROVISION AGREEMENT

This agreement (“Agreement“) is between {Name}, hereinafter referred to as “Buyer”, and {Name}, hereinafter referred to as “Seller” and is executed this {date} day of {month}, {year}.

Buyer and Seller are entering into this Agreement for the purposes of completing {description of Scope of Work}, hereinafter referred to as the “Work.” As such, Buyer and Seller agree to the following provisions:

Method. In order to accomplish the Work, Seller will {description of how Buyer and Seller intend to work together, including any mandatory information to be provided by Buyer, times Seller is expected to deliver work, etc.}.

Plagiarism . Seller agrees that all Work created for Buyer is his own unique work, and does not borrow from any other copyrighted work.

Deadline. Seller will complete the Work by {deadline date}. {include additional deadlines here, and explain if Buyer will have access to the Work at any point during the writing process}.

Payment. Payment for the Work will be delivered according to the following schedule: 50% with order, prior to start of Work; balance due within two (2) days after delivery of each parcel of the Work. Payments to be made via Paypal to Seller‘s account.

Royalties. Seller will not be entitled to any royalties, residuals, or commissions upon the sale of the work. Total payment for Seller is {amount in dollars}, payable according to the terms listed above.

Copyrights. Seller will own the Work, including any copyrights and sale or distribution rights, up until final payment has been received for the Work. Immediately upon receipt of  final and total payment, all intellectual property rights for the Work shall convey to the Buyer.

Confidentiality. Seller acknowledges that he will have access to certain privileged information during the course of this project. Seller agrees to keep all such privileged information confidential, during and after the course of this project.

Early Termination. Both  the Buyer and the Seller will have the right to terminate this Agreement at any point. Should Buyer terminate the Seller‘s services for any reason other than breach of this Agreement, Buyer will be required to pay Seller for completed work, according to the provisions outlined in the “Payment” section of this Agreement, plus 25% of that amount in compensation for research, preparation or work-in-progress.

Similarly, Seller will have the right to end this Agreement at any point. If Seller should terminate this agreement, Buyer shall pay only for such portions of the Work as are delivered up to that time and within two (2) working days thereafter.

Financial Obligation. Seller agrees that he is an independent contractor, and not an employee of Buyer. Seller therefore acknowledges that he is responsible for reporting his own income to the appropriate authorities.

Severability. If any portion or clause of this Agreement should be found by competent authority to be unlawful or unenforceable, such finding shall not affect the remaining clauses, which shall remain in effect.

Jurisdiction. This contract shall be governed by the laws of the County of San Diego, in the State of California, USA, and any applicable US Federal law.

Payment Terms. Should the Buyer fail to pay the Seller the full amount specified in any invoice within two (2) calendar days of the invoice’s due date, a late fee equal to ten percent (10%) shall be added to the amount due and interest of twenty four percent (24%) per annum shall accrue from the calendar day following the invoice’s date.

Relationship. Buyer and Seller stipulate that this Agreement does not imply any other relationship between the two, and that any additional relationship desired by party must be outlined in a separate Agreement.
Buyer and Seller agree to the above terms, and undersign here to that effect.
